Notice: Proposed Amendments to IIUSA Bylaws
For consideration at the 21st Annual IIUSA Membership Meeting
IIUSA’s 21st Annual Membership Meeting will be held on Wednesday, April 29 at the Hyatt Regency Washington DC. In addition to an update on association business and the Board of Directors elections, this year there will be bylaws amendments to consider for approval.
In accordance with the association bylaws, this is a formal notice to the membership for proposed amendments to the bylaws. A full mark-up that shows the proposed amendments can be viewed by tapping the button below.
The changes are not substantive, but simply clarify the voting rights of members in accordance with our discounted dues policy. The proposed changes can be found on page 4 of the document linked below.

The proposed amendments will be presented at the Annual Membership Meeting on April 29 after which the membership will cast electronic votes* for whether to approve or reject the changes. Per the IIUSA bylaws, in order for a proposed amendment to be adopted, it must approved by 2/3 vote of the members present and subsequent 2/3 vote in approval by Regional Center members. Instructions for electronic voting will be emailed prior to the meeting and will also include voting for the Board of Directors elections.

PROPOSED BYLAWS AMENDSMENTS
*In order to be eligible to vote at the Annual Membership Meeting, a member organization must be current on its membership dues and any outstanding invoice and otherwise eligible to vote according to the bylaws. Any member organization that is more than 30 days past due may be refused a ballot.
